2Purpose of the platform

Palettenring is a B2B platform for companies from industry, trade, logistics, and the pallet sector.

Its purpose is to connect qualified companies with each other, in particular in the areas of pallet procurement, pallet offers, direct transactions, quality profiles, production quantities, demand notifications, and business contact initiation.

Palettenring is not a consumer offering. The platform is aimed exclusively at entrepreneurs, companies, merchants, legal entities under public law, and users acting in a business capacity. Consumers within the meaning of section 13 of the German Civil Code (BGB) are excluded from using the platform.

3Registration and waiting list

Users may register for information, a waiting list, a membership, or later platform use.

There is no claim to admission, activation, or membership. Palettenring may review registrations, reject them, or make them conditional on additional information.

Users undertake to provide only accurate, current, and complete information. Changes to such information must be communicated without delay. In particular, users are obliged to notify any changes to their contact details, company name, VAT identification number, and authorized representatives without delay in text form.

4Membership and access

Future membership may depend on additional requirements, especially the type of company, industry, quality of the information provided, creditworthiness, reliability, and compliance with platform rules.

Palettenring may restrict, suspend, or terminate access if users breach these terms or misuse the platform.

The detailed requirements for participation in the partner program and the respective partner plans are set out in the partnership application and the associated service descriptions.

5Communication via WhatsApp

Palettenring may use WhatsApp for business communication, for example for follow-up questions, registration confirmations, waiting-list information, matching processes, support, or service-related messages.

Users may use WhatsApp only if they are authorized to do so and are entitled to use the relevant phone number. Users may stop WhatsApp communication at any time, for example with a message saying "STOP" or by email to [email protected].

The terms and policies of WhatsApp and Meta also apply to WhatsApp use. Users are themselves responsible for using WhatsApp in a legally compliant way and in accordance with the applicable WhatsApp terms.

Using WhatsApp may involve a transfer of personal data (for example phone number, communication content, metadata) to WhatsApp/Meta and possibly to countries outside the EU/EEA. Further details on the data-protection assessment, the legal bases relied upon, and the communication services used can be found in Palettenring's Privacy Policy.

6Permitted use

Users may use Palettenring only for lawful business purposes. In particular, the following are prohibited:

• false, misleading, or incomplete information
• identity misuse or registration under another person's name
• spam, unsolicited advertising, or aggressive outreach
• unlawful, offensive, discriminatory, or business-damaging content
• manipulation, scraping, automated mass queries, or technical attacks
• circumventing security or access restrictions
• use of the platform for fraudulent or unreliable business activities

7Quality and pallet information

Where users provide information about pallets, quality, quantities, prices, delivery capability, or other business data, such information must be truthful and given to the best of their knowledge.

For used pallets, quality statements must be understandable, realistic, and not misleading. Palettenring may review statements, request evidence, or reject offers if there are doubts about accuracy, quality, or reliability.

8No guarantee of a business deal

Palettenring supports business introductions and may provide matching features. There is no entitlement to mediation, contact, an offer, a contract, revenue, or any specific commercial result.

Contracts for pallets or other services are concluded exclusively between the respective business partners unless expressly agreed otherwise. Palettenring does not automatically become a party to such transactions.

9Prices, membership fees, and paid services

Where Palettenring offers paid services, memberships, or premium features, prices, terms, payment conditions, and scope of services are set out in the relevant offer, order form, or contract. Unless stated otherwise, all prices are net plus applicable VAT.

For the paid partner plans (for example Free, Silver, Gold, Platinum), the details — in particular prices, terms, and notice periods — are set out in the partnership application concluded in each case and the associated service descriptions. These apply in addition to these Terms of Service.

An upgrade to a higher partner status may take place during the current billing year in accordance with the relevant offer. A downgrade to a lower partner status is governed by the periods and conditions set out in the partnership application.

10Content and rights

Users grant Palettenring the right to process, display, and share the information, company profiles, offer data, and communication content submitted by them with suitable potential business partners where this is necessary for the intended introduction or platform use.

Users warrant that they hold all rights required for the content they provide and that no third-party rights are infringed.

11Availability and changes

Palettenring aims to provide the platform reliably. However, uninterrupted availability is not guaranteed. Maintenance, technical failures, security reasons, or further development may lead to restrictions.

Palettenring may change, extend, restrict, or discontinue features where this is necessary or expedient for technical, commercial, legal, or organizational reasons.

12Liability

Palettenring is liable without limitation in cases of intent, gross negligence, and injury to life, body, or health. In cases of slight negligence, Palettenring is liable only for breaches of essential contractual obligations and only for foreseeable damage typical for the contract.

Palettenring is not liable for the accuracy, completeness, or timeliness of user information or for contracts, deliveries, payments, quality defects, or other disputes between business partners unless Palettenring itself is a party to the respective transaction.

13Indemnification

Users indemnify Palettenring against third-party claims arising from unlawful use of the platform, false information, infringement of third-party rights, or breaches of these Terms of Service, insofar as the user is responsible for the breach.

14Privacy

Information about the processing of personal data can be found in Palettenring's Privacy Policy.

Palettenring processes users' personal data (in particular contact, communication, and company data) for registration, the management of access, performance of the platform use agreement, communication with users, and the review of reliability, creditworthiness, and misuse risks. The processing is based in particular on the necessity for contract performance and on Palettenring's legitimate interests within the meaning of the applicable data-protection rules.

To verify company identity, creditworthiness, reliability, and legal or reputational grounds for exclusion, Palettenring may draw on information from publicly accessible sources (for example commercial registers, company registers, company websites) and — where necessary — from specialized credit agencies. Further details on the categories of data, the legal bases, the recipients, retention periods, data-subject rights, and the use of communication services such as WhatsApp can be found in Palettenring's current Privacy Policy, available on the website.

The Privacy Policy is provided to users in text form (for example as a PDF, by email, or via a download link) as part of the registration or onboarding process. By using the platform, users confirm that they have received and taken note of the Privacy Policy.

15Term, termination, and suspension

Unless a specific term has been agreed, a free registration or waiting-list sign-up can be ended at any time by notifying Palettenring. Palettenring may block or delete access if there is no legitimate interest in continued use or if these terms are breached.

For the paid partner plans, the terms, renewal mechanisms, and notice periods set out in the respective partnership application and the associated service descriptions apply. A downgrade to a lower paid partner status is generally possible only with effect from the start of the next billing year and must be requested in text form by the cut-off date stated in the partnership application. Membership fees already paid are not refunded on a pro-rata basis in such cases; the new partner status is taken into account at the next annual billing.

16Suspension, exclusion, and damages in case of misuse

Palettenring may at any time review, provisionally suspend, permanently block, reject, remove, or extraordinarily terminate registrations, applications, user accounts, profiles, listings, offers, or partnerships where there are concrete indications of false, misleading, or incomplete information, identity misuse, fraudulent conduct, unreliable business practices, unlawful use, significant quality breaches, lack of delivery capability, payment defaults, reputational risks, or other breaches of these Terms of Service.

This applies in particular where users or partners provide false company data, a false VAT identification number, false contact details, or inaccurate information about pallet quality, quantities, prices, delivery capability, or contractual interest, or use the platform to deceive, circumvent, harm other market participants, or initiate unlawful or unreliable business transactions.

In the event of a suspension, rejection, or extraordinary termination on the aforementioned grounds, there is generally no claim to a refund of fees, membership fees, or other charges already paid for the current billing period, insofar as the user or partner is responsible for the grounds for the measure. This is without prejudice to the user's or partner's right to demonstrate that Palettenring incurred no expenses or damage, or substantially lower expenses or damage.

The user or partner is liable for all damage, expenses, and disadvantages incurred by Palettenring as a result of culpably false information, misuse, fraudulent conduct, or breaches of these Terms of Service. This includes in particular reasonable internal review and processing costs, costs of legal enforcement, damage from reputational loss, third-party claims, and damage arising from the suspension, removal, or reversal of profiles, listings, offers, contacts, or business introductions.

Palettenring's right to assert further statutory claims remains unaffected. The above provisions apply in addition to the agreements on rejection, suspension, extraordinary termination, and damages set out in the partnership application.

17Final provisions

The law of the Republic of Ireland applies unless mandatory consumer-protection provisions or mandatory statutory provisions provide otherwise. Because Palettenring addresses only business users, the provider's seat is the place of jurisdiction to the extent legally permissible.

By concluding a partnership application or registering as a user, the parties confirm that they have been informed about the choice of law and the jurisdiction agreement.

If individual provisions of these Terms of Service are or become invalid, the validity of the remaining provisions remains unaffected.

18Changes to these Terms of Service

Palettenring may amend these Terms of Service where legal, technical, commercial, or organizational reasons make this necessary. The current version is available at the URL published on the website.

Material changes to the Terms of Service affecting ongoing paid contracts will be communicated to the affected users in text form. If users do not object to the amended terms within a reasonable period after notification, or continue to use the platform after that period expires, the changes are deemed accepted. Palettenring will point this out separately in the notice of changes.
